Terms of Service

1. Services
Eleventh Solutions LLC provides AI systems engineering services including RAG pipeline development, autonomous agent design, FastAPI backend architecture, data pipeline engineering, and AI reliability consulting. All engagements are project-based and governed by individual statements of work.
2. Intellectual Property
Unless otherwise specified in a statement of work, all code, documentation, and deliverables produced during an engagement are owned by the client upon final payment. Eleventh Solutions retains the right to use general knowledge, techniques, and non-proprietary patterns developed during engagements.
3. Confidentiality
We treat all client data, business logic, and proprietary information as confidential. We do not disclose client information to third parties without explicit written consent. This obligation survives the termination of any engagement.
4. Limitation of Liability
Eleventh Solutions provides services on an as-is basis. Our total liability for any claim arising from an engagement shall not exceed the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages.
5. Payment Terms
Payment terms are defined in individual statements of work. Standard terms are net 30 from invoice date. Late payments may incur a 1.5% monthly interest charge.
6. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. All deliverables completed and paid for will be transferred to the client.
7. Governing Law
These terms are governed by the laws of the State of Colorado, United States. Any disputes shall be resolved in the courts of Boulder County, Colorado.
